Welcome to easyplant. These Terms and Conditions govern your use of our website, https://easyplant.com, and the purchase of our products. By accessing our website or making a purchase, you agree to comply with these terms.
1. Definitions
“easyplant” means the trading name for Mixtiles OPS BV, Inc., registered in The Netherlands with a registered office at Strawinskylaan 613 NL - 01077 XX Amsterdam NETHERLANDS, also referred to as “we” or “us” in these terms and conditions.
“Force majeure” means any clause affecting the performance by easyplant of its obligations arising from acts, events, omissions, happenings or non-happenings beyond its reasonable control including (but not limited to) governmental regulations, fire, flood or any disaster or industrial dispute affecting a third party.
“Working days” means Monday to Friday, excluding Bank or other public holidays.
2. Orders
a) All contracts of sale made by easyplant shall be deemed to incorporate these terms and conditions, which shall prevail over any other terms from the party (“the customer” or “you”) with whom easyplant is dealing. Cancellation of orders by consumers can only be accepted in accordance with the Consumer Contracts Regulations 2014.
b) All orders are subject to acceptance and to availability of the goods ordered. easyplant is entitled to refuse any order placed by a customer.
c) You undertake that: 1. all details you provide to us for the purpose of purchasing goods or services offered on our website are correct; and 2. the credit or debit card you use to make a purchase from us is your own or your company’s card, that you are authorised to use it, and that there are sufficient funds or credit facilities to cover the cost of any goods or services you order from us. easyplant reserves the right to obtain validation of your credit or debit card details before providing you with any goods or services.
3. Prices
a) All prices are inclusive of VAT at the current rates where applicable and are correct at the time of entering information.
b) easyplant reserves the right to change prices without prior notice.
4. Delivery, Title and Risk
a) Any time or date stated for delivery is an estimate only. easyplant makes every effort to despatch goods on time, but does not accept liability for failure to deliver within the stated time.
b) If easyplant is unable to deliver the goods within 30 days of the date of order, the customer will, as its sole remedy, be entitled to cancel the order and require any monies paid to easyplant in respect of that order to be refunded. In order to cancel, the customer must send written notice of cancellation to [email protected] after the above date, but before delivery of the goods or notification from easyplant that the goods are ready for delivery.
c) easyplant does not accept liability for shortages or damage to deliveries unless the customer notifies easyplant of the shortage or damage in writing to [email protected] within 7 days of receipt of the delivery.
d) The customer has to accept the goods when they are ready for delivery.
e) Delivery is deemed to take place when the goods are delivered to the customer’s nominated address, whereupon the risk of loss, breakage and all damage and all other risks shall pass to the customer.
f) Title in the goods does not pass to the customer until payment is received in full by easyplant .
g) If the customer cannot accept delivery, easyplant may at its option:
(1) store and insure the goods at the customer’s expense and risk; or
(2) sell the goods at the best price reasonably obtainable and (after deducting reasonable storage insurance and selling costs) pay to the customer any excess over the sale price or charge the customer for any shortfall; or
(3) re-arrange delivery provided that easyplant may charge the customer for the additional delivery costs incurred.
5. Payment
a) Payment can be made by any major credit or debit card. Payment will be debited and cleared from your account before the despatch of easyplant’s good(s) or provision of service to you.
b) You confirm that the credit/debit card that is being used is your.
c) All credit/debit card holders are subject to validation checks and authorisation by the card issuer and we may share your personal information with such parties as are necessary to enable us to do such checks. If the issuer of your payment card refuses to authorise payment to us, we will not be liable for any delay or non-delivery.
6. Product Specifications
a) easyplant makes every effort to supply the goods as advertised but reserves the right to supply the goods subject to minor variations in actual dimensions, specifications and, in the case of bulk items, quantities without prior notice.
b) If easyplant cannot supply the goods ordered by you, easyplant reserves the right to offer goods of equal or superior quality at no extra cost. In such a case, if the customer does not wish to accept the alternative goods offered, he or she may cancel the order and require the refund of any money paid to easyplant in respect of that order. This shall be the sole remedy of the customer in these circumstances.
7. Trade names and Trade Marks
a) Trade names and marks (other than “easyplant”) are not always indications of the actual producer of a particular product.
8. Warranties and Returns
a) easyplant is committed to providing our customers with the highest quality products and service. However, on rare occasions, products may be found to be faulty or defective. In such cases, we offer the returns facilities described below.
b) All goods supplied by easyplant are warranted to be generally free from defects in workmanship and materials and fit for the purpose for which such goods would normally be used. If the customer purchase goods in the course of your business, all other express or implied terms or warranties relating to the goods are excluded to the fullest extent permitted by law. Subject to this, however, goods are not checked or sold as being fit for any particular or for use under specific conditions, unless expressly agreed in writing. All services provided by easyplant will be provided with reasonable skill and care and within a reasonable period. If you purchase services in the course of your business, all other express or implied terms or warranties relating to the services are excluded to the fullest extent permitted by law.
c) In the event that easyplant, at its discretion (unless the Consumer Contracts Regulations apply), agrees to accept the return for credit of unwanted products, the goods must be returned within the guidelines of the Returns Policy.
9. easyplant Liability and Your Indemnification
a) easyplant shall under no circumstances be liable for any consequential or indirect damage or loss, however caused, (including (but not restricted to) loss of business or profits, loss of goodwill, damage to trading relationships, loss of data and other financial loss. (“Financial loss” in this sense does not refer to the price the customer have paid for the goods, which we may be liable to refund to the customer, in whole or in part, if the goods are faulty or do not comply with their description). easyplant’s liability in respect of all other losses shall be limited to the invoiced amount of the relevant order, provided it has been paid.
b) easyplant does not endorse any content, recommendation, or advice expressed in any content and expressly disclaims all liability in connection with it in connection with regards to its accuracy, usefulness, safety or appropriateness.
c) Nothing in this agreement shall limit easyplant’s liability in any way where it would be unlawful to do so. This includes liability for death or personal injury caused by its negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
d) Please note that we only provide our website for private use. You agree not to use our site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption or loss of business opportunity.
e) You agree to indemnify, defend, and hold harmless easyplant, its affiliates, and their respective employees, directors, officers, subcontractors and agents, against any and all claims, damages, or costs, losses, liabilities or expenses (including reasonable court costs and attorneys’ fees) that arise directly or indirectly from: (1) breach of these Terms by you or anyone using your account and/or computer and/or mobile device (whether authorized or unauthorized); (2) any claim, loss or damage experienced from your use or attempted use of (or inability to use) the website; (c) your violation of any law or regulation or any of your obligations, representations, or warranties hereunder including but not limited to breach of any privacy and/or data protection laws and regulations to which you are subject; (d) your infringement of any right of any third party; and (e) any other matter for which you are responsible hereunder or under applicable law.
10. Health and Safety
a) In accordance with the Health and Safety at Work, etc Act 1974 and the Consumer Protection Act 1987, easyplant confirms that the goods it supplies as a distributor do not present a hazard to health and safety (1) when properly used for the purpose for which they are designed, and (2) if the customer takes reasonable and normal precautions in their use.
11. Force Majeure
Where, in spite of its reasonable efforts, easyplant is unable to perform an obligation due to force majeure, it shall not be deemed to be in breach of its contract with the customer.
12. The Consumer Contracts Regulations 2014
a) Contracts for the purchase of goods by a customer not acting in the course of a business and made over the telephone or through the easyplant website, or by mail order, are, with the exception of certain excepted contracts, subject to The Consumer Contracts Regulations 2014 (“the Regulations”).
b) If the Regulations apply, customers may cancel goods purchased from easyplant by sending a written notice of cancellation by post or hand delivery addressed to customer Services to [email protected].
c) The notice of cancellation must be sent within 14 working days of the date of delivery after the goods are received.
d) The customer will be responsible for the cost of returning the goods if they exercise this right of cancellation under the Regulations. If the customer does not actually return the goods to easyplant, the customer is under a duty to make the goods available for collection at the customer’s expense from the address to which they were delivered.
e) The customer is under a duty to retain possession of the goods whilst awaiting return to easyplant and to take reasonable care of them during this period. The customer will be liable for any loss of or damage to the goods if they fail to comply with this obligation.
13. Errors and Omissions
a) easyplant makes every effort to ensure that all prices and descriptions quoted on its website are correct and accurate. However, the fast-moving nature of e-commerce makes it inevitable that mistakes will occasionally occur. In the case of a manifest error or omission, easyplant will be entitled to rescind the contract, notwithstanding that it has already accepted the customer’s order and/or received payment from the customer. easyplant’ liability in that event will be limited to the return of any money the customer has paid in respect of the order. In the case of a manifest error in relation to price, the customer will be entitled to purchase the goods by paying the difference between the quoted price and the correct price, as confirmed in writing by easyplant after the manifest error has been discovered.
b) A ‘manifest error’, as the term is used in sub-paragraph a) above, means, in relation to an incorrect price, a price quoted in error by easyplant which is more than 10% less than the price that would have been quoted had the mistake not been made.
14. Website Use
a) easyplant may update and change its website from time to time to reflect changes to its products and business priorities.
b) easyplant’s website is made available free of charge.
c) easyplant provides an online chat system, which allows you to ask questions about the Services easyplant provides and to seek assistance, as needed. Such chats may be saved for future reference by easyplant.
d) We do not guarantee that the easyplant website, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of the easyplant website for business and operational reasons. We will try to give reasonable notice of any suspension or withdrawal.
e) You, the user, are also responsible for ensuring that all persons who access our site through your internet connection are aware of these terms of use and other applicable terms and conditions and that they comply with them.
15. Intellectual property
a) We are the owner or the licensee of all intellectual property rights in our site and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved. Except as expressly permitted herein, you may not copy, further develop, reproduce, republish, modify, alter download, post, broadcast, transmit or otherwise use the content of the website for any purpose.
b) You may print off one copy and may download extracts, of any page(s) from the easyplant website for your personal use and you may draw the attention of others within the your organisation to content posted on our site.
c) You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
d) You must not use any part of the content on our site for commercial purposes without obtaining a license to do so from us.
16. No text or data mining or web scraping
a) You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our site or any services provided via or in relation to the easyplant website. This includes using (or permitting, authorising or attempting the use of):
Any “robot”, “bot”, “spider”, “scraper” or automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of the site or any data, content, information or services accessed via the same.
Any automated analytical technique aimed at analysing text and data in digital form to generate information which includes but is not limited to patterns, trends and correlations.
b) The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of Digital Copyright Directive ((EU) 20219/790)
c) This clause shall not apply insofar as (but only to the extent that) we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us.
17. Misuse of website
a) You must not misuse the easyplant website by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to the easyplant website, the server on which the easyplant website is stored or any server, computer or database connected to the easyplant website. You must not attack the easyplant website via a denial-of-service attack or distributed denial-of-service attack. By breaching this provision, you would commit a criminal offense under the Computer Misuse Act 1990. easyplant will report any such breach to the relevant law enforcement authorities and will co-operate with those authorities by disclosing your identity to them. In the event of such breach, your right to use the easyplant website will cease immediately.
b) You may not do or attempt to do or facilitate a third party in doing any of the following: (1) decipher, decompile, disassemble, or reverse-engineer any of the software and/or code without our prior written authorization, including framing or mirroring any part of website; (2) circumvent, disable, or otherwise interfere with security-related features of the website or features that prevent or restrict use or copying of any content on the website; (3) use the website or content thereon in connection with any commercial endeavours in any manner; (4) use any robot, spider, site search or retrieval application, or any other manual or automatic device or process to retrieve, index, data-mine, or in any way reproduce or circumvent the navigational structure or presentation of website; and/or (5) use the website content thereon in any manner not permitted by these terms or applicable law.
18. General
a) Nothing in these terms and conditions affects your statutory rights as a consumer
b) If any provision in this agreement is held to be invalid or unenforceable, it shall be deemed severed from the Agreement and this shall not affect the validity or enforceability of the remaining provisions.
c) Any waiver of a breach of this Agreement must be in writing.
d) The headings are for convenience only and shall not affect the interpretation of these terms and conditions.
e) The notice shall be deemed served (2) after system confirmation of e-mail delivery.
f) These terms and conditions shall be governed by and construed in accordance with the laws of England and the parties submit to the exclusive jurisdiction of the English courts.
g) easyplant may, at its discretion, record telephone transactions for staff training and quality control purposes.
h) easyplant reserves the right to change or amend these terms and conditions at any time and without prior notice. Every time you wish to use the easyplant website, please check these terms to ensure you understand the terms that apply at that time. These terms were most recently updated in February 2025.
